Stargate is in the process of completing the transfer of all dial-up and residential Verizon DSL customers to EarthLink and PeoplePC, an EarthLink company. The deadline to decline transfer of individual accounts was Friday, November 7, 2003 at 12:00 PM EST.

As this deadline has passed, customers must now contact EarthLink/PeoplePC to make changes to account information.  Please note: EarthLink/PeoplePC will not have information about your account until Monday, November 17, 2003.

Stargate services will continue uninterrupted until an account´s next bill date, or November 30, 2003; whichever comes first.  Transferred accounts will not be billed by Stargate again; however, prior outstanding balances are still payable to Stargate.

Customers with services staying with Stargate Business, an E-xpedient company, will not experience a service interruption.

Preliminary information regarding the EarthLink transition is now available.  Further details will be provided in the coming weeks as they become available.

In the near term, you do not need to take any action. Your Stargate services will be available to you through the completion of the transition to EarthLink.  We will provide a simple process to transfer your account that should allow for minimal disruption in service, if any. Over the course of the next few weeks, we will be contacting you to explain, in simple terms, the minor changes you will need to make and we will work with you throughout the process with the goal of providing a smooth transition.

Yesterday, in an Erie courtroom, E-xpedient, EarthLink, Inc. (NASDAQ: ELNK) and A.C.Coy prevailed in the acquisitions of the commercial, consumer dial-up and consulting businesses of Stargate, respectively, drawing to conclusion the restructuring that began in April 2003.

Since we announced the framework of our reorganization plan on August 28th, we have continued to work with E-xpedient, EarthLink and FullTilt on the details of the transition approach and/or integration of our companies. The next step in the process, the completion of Asset Purchase Agreements, was finalized and a Motion of Sale was filed with the Court on September 17th. The final stage of the process is scheduled to unfold in the middle of October and we expect to complete the Chapter 11 proceedings on or before November 1.

Recent media coverage regarding the often complicated legal aspects of the court process has led to some confusion. Additionally, some of our competitors have attempted to capitalize on the media induced confusion by further distorting the facts. To set the record straight, the process is proceeding just as we described in previous updates. While nothing is final, pending the approval of the Court, we are excited about the proposed reorganization and look forward to a return to a growth oriented strategic plan.

In the meantime, our team is continuing to focus on delivering great service and support. New companies certainly seem to recognize the value of our approach. Several firms recently signed data center service agreements with us. We truly appreciate this expression of confidence from our new clients and for the continued support and understanding of our many loyal customers and business partners.

Finally, we launched a new Technology Seminar Series last week that we hope will help invigorate some networking and a healthy dialogue on technology innovation. The next session is scheduled on October 23 at the Andy Warhol museum. The program will run from 3:00pm-5:00pm and the featured topic will be Disaster Recovery. This is the second day of ITEC so we hope you can join us at the ITEC show and then walk across the bridge to the Warhol museum.

Stargate.net, Inc. filed Letters of Intent (LOI) today from E-xpedient, Inc., FullTilt Solutions and EarthLink, Inc.(NASDAQ:  ELNK) to acquire the commercial, consulting and consumer dial-up businesses of Stargate, respectively.

Over 3 months have passed since we began action to reorganize the company and thanks to the continued support of our customers, partners, vendors and our employees, operations have continued as normal. We are pleased to report progress in the identification of all of our options and we expect to be able to communicate details of our plans over the course of the next few months. Today, July 14th, the court approved a motion that effectively allows operations to proceed as normal for another 60 days, through September 14th. This extension was granted without contest, thanks in most part to sound financial performance and continuing positive cash flow.

Our Management team has learned a lot in the last few months. Especially that settling these matters takes a little longer than we originally expected. But we are confident that the best resolution will result from taking the time to conduct thorough analysis of every option. We are excited about where we are at in the process and we could not be more pleased and grateful to our customers and friends for their continued support. Well over two months after filing the petition for reorganization; operations have continued without interruption; service metrics have improved; our commercial services, consulting, and Managed hosting businesses have all enjoyed increased sales volume and the legal process is progressing as planned. We are thrilled to be able to report these favorable developments, and we continue to experience a tremendous amount of support and expressions of confidence from our customers, vendors and financial partners. Our recorded cash flow in April and May was up over first quarter run rates, allowing us to build additional cash on the balance sheet and fund current obligations from current cash streams.

As many of our friends know, Western Pennsylvania has been hit with a tremendous amount of bad weather in recent weeks. While the area was hit very hard, with significant damage and interruption to utility services, our facilities withstood the impact of the storms and all customer services went uninterrupted.  All of this thanks to the multiple redundancies built into our back-up power systems. We are pleased with and proud of the engineers who oversee the operations at the data center.

We are now at a phase in the process where a rigorous amount of time consuming detailed financial documentation, evaluation and due diligence will need to occur on the part of all parties; Stargate, our creditors and our investors. We will continue to post regular operational updates, but please be patient as we continue developing our long-term reorganization plan. We believe that providing speculation that may go unrealized would be a disservice to all of our stakeholders.

The completion the month of May marks eight full business weeks since we announced our intention to reorganize. Operations continue as normal and many of our internal service improvement initiatives continue to yield favorable results. The management team has been working diligently with its advisory groups on the numbers and words that will support the strategic reorganization plan. We will continue to work on this plan for the next several weeks.

All this behind the scenes work has not distracted our Marketing and Sales staff, as they will be rolling out a new ad campaign that will promote our commercial service offerings next week. Customers and prospects will read and hear about Stargate's eBusiness services on the radio, newspapers, billboards, bus signs and even in their office mail box. Needless to say we are very excited about the new campaign, which kicks off Monday June 2nd. After you check out the campaign, let us know what you think!

As we complete the 7th week of uninterrupted operations since our filing, we are pleased to report continued progress on both the legal-administrative side and on the formation of our plan for reorganization. Among the administrative accomplishments, is six month lease extension for our Pittsburgh headquarters, which had expired at the end of April. It is hard to believe that we have been in the Crane Building for 5 years, as it seems like yesterday when we moved in.

Thanks in large part to continued customer confidence; the company is enjoying strong, positive cash flows. Just this week, several new business contracts were secured, including two large engagements that will change the names on our top "50" customers list. We express our extreme appreciation to these new customers and congratulations to our sales and engineering teams for once again, identifying the best solution to meeting a custom technology need.

As noted in previous updates, we are always looking for additional ways enhance performance and improve our customer service. To that end, ongoing projects in our Call Center and Information Systems group have resulted in improvements to our customer service metrics each of the last two months. We are confident that these internal initiatives will result in continuous improvement throughout the summer months, as we prepare for our traditionally busy 3rd quarter.

Stargate is continuing to develop a strategic reorganization plan that will ultimately form the basis of our emergence from the Chapter 11 process.  In the meantime, we are operating the company, as promised, in a "business as usual" manner.  All vested parties in this matter share a common interest in protecting the interests of our clients.  In support of this, on Monday May 12th, the Courts approved an extension to the Cash Collateral Order that essentially ensures that our operation will continue without interruption while we progress with the restructuring efforts for the next 60 days.

We are pleased to report that all of Stargate's normal business operations, including service, support, sales and administration have continued uninterrupted more than a month since the announcement of our intention to reorganize. At this point, we trust that our key customers and business partners have had their immediate questions and concerns answered. The understanding, patience and cooperation of all of our stakeholders remains overwhelming. We particularly want to thank several new commercial clients for the expression of confidence by awarding us new contracts.

This past week, management completed the process of engaging key financial, legal and strategic advisory groups. With the team of internal and external professionals formed, we can now begin the process of documenting the plan for emergence. This phase of the process will take some time and will require a lot of "behind the scenes" administrative work, so we will not have any "legal milestones" to report, as the court has already acted on the legal motions that ensure continuity of current operations. None the less, we will still communicate progress and updates on weekly basis, so that all interested parties are fully informed.

Four business weeks have passed since our Chapter 11 filing and we are pleased to report that business continues to progress as expected and support from our customers remains strong. In particular, demand for our professional services and technology consulting group has resulted in several new, large engagements. Many thanks to both our new and existing customers for your expression of confidence.

On the financial side, the company enjoyed continued positive cash flow in each of the 3 months of the first quarter, with March EBITDA exceeding that of any month in the past 6. We are now working with our advisors and our investors, on the lengthy and detailed task of formalizing our reorganition plans. This process will likely take the better part of the next 2 months. In the three weeks since filing our reorganization petition we have engaged in a proactive communications effort which allowed us to personally speak to many of our customers, vendors and business partners.  We continue to be impressed by the level of support that we've received and have experienced no measurable change in our normal course of business.  To say that we are pleased with the reaction so far, would be a gross understatement.

In the past week, Stargate launched a media campaign to promote a special offer for high speed DSL through May 2, 2003.  You may hear about the offer on the radio or read about it in your local newspaper.  More information is available on our web site through the end of the promotion.

On the legal process front, things are progressing as expected.  There are many 'legal formalities' associated with the process including new reporting requirements that we need to put in place before we can formalize a restructuring plan with the banks and the court.  These proceedings will begin in the month of May and we will continue to provide updates when information becomes available.  In the meantime, if you have any questions and or concerns related to Stargate's reorganization filing, please direct them to reorg@stargate.net.

Two full business weeks have passed since we filed our reorganization petition and we are pleased to report that the understanding and support of our customers and vendors has been overwhelming. The first hearing, which effectively assures that our operations continue uninterrupted while we begin the formal planning and filings process, was held on Monday the 14th and formally approved by the courts on Wednesday the 16th.

We are even more pleased to report that at least a half-dozen, new commercial contracts were delivered in the last 5 days. So we extend congratulations to our sales team for their continued success and our many thanks to our new customers, for their expression of confidence.

Perhaps the most important news is that we've experienced no service interruptions in the last 2 weeks. In fact, thanks to some recently implemented software changes to our CRM programs, we've enjoyed measured service improvements, in the form of reduced call waiting time and service resolution time.

The Stargate mangement team wishes to thank our customers, vendors and business partners for their understanding and cooperation this first week of the reorganization process.  As promised, we have maintained a business as usual environment with regard to our operations and will continue to do so throughout the process.

We have been advised by our legal counsel that the process is progressing as planned and that initial legal proceedings are scheduled for the coming week.  While we are still in the early stages of the process, we are more confident than ever that we will emerge from this filing as a stronger entity in the market.
